Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of the WhatsAI, powered by OpenAI, provided by DiscoCrate Technologies Pte. Ltd. ("DiscoCrate," "we," "us," or "our"). By using WhatsAI, you agree to these Terms, which constitute a binding legal agreement between you and DiscoCrate. If you do not agree to these Terms, you may not use WhatsAI.

Use of the Service

WhatsAI is designed to assist you in interacting with the Service using natural language processing. By using the Service, you represent and warrant that: (i) you have the necessary rights, permissions, and authority to enter into these Terms and to use the Service; and (ii) you will comply with all applicable laws, rules, and regulations in connection with your use of the Service.

Account Registration

To use the Service, you may be required to register an account with DiscoCrate. You agree to provide accurate, complete, and current information during the registration process, and to keep your account information up-to-date. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. DiscoCrate reserves the right to suspend or terminate your account if we believe that you have provided false or inaccurate information or if you violate these Terms.

Prohibited Conduct

You agree not to engage in any of the following activities in connection with your use of the Service:

(i) Upload, transmit, or distribute any content that is unlawful, fraudulent, misleading, defamatory, obscene, or otherwise objectionable;

(ii) Use the Service to harass, stalk, or intimidate any person or entity;

(iii) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(iv) Attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service, or to any DiscoCrate server or database;

(v) Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission;

(vi) Take any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on our infrastructure;

(vii) Violate any applicable laws or regulations in connection with your use of the Service;

(viii) Modify, adapt, or hack the Service, or otherwise attempt to gain unauthorized access to the Service or its related systems or networks.

Intellectual Property Rights

The Service and its contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by DiscoCrate or its licensors and are protected by copyright, trademark, and other intellectual property or proprietary rights laws. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as necessary to access and use the Service as provided under these Terms.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DiscoCrate does not warrant that the Service will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free. You acknowledge and agree that your use of the Service is at your own risk, and that you are solely responsible for any damage to your computer system or mobile device or loss of data that results from your use of the Service.

Limitation of Liability

In no event shall DiscoCrate, its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the Service, whether based on contract, tort (including negligence), strict liability, or otherwise, even if DiscoCrate has been advised of the possibility of such damages. In no event shall DiscoCrate's total liability to you for all damages, losses, and causes of action arising out of or in connection with these Terms or your use of the Service exceed the amount paid by you, if any, to DiscoCrate during the six (6) month period prior to the date on which the claim arose.

Indemnification

You agree to indemnify, defend, and hold harmless DiscoCrate, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any law or the rights of any third party.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination of your access to the Service, your right to use the Service will immediately cease.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts located in Singapore to resolve any legal matter arising from these Terms.

Changes to these Terms

DiscoCrate reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice by posting a notice on our website or by sending you an email. What constitutes a material change will be determined at our sole discretion.
